Compliance Alert: Maintaining SCR Register and Digital Nameplates in HK

Compliance Alert: Maintaining SCR Register and Digital Nameplates in HK
Ensure your registered office satisfies digital signage and Significant Controllers Register (SCR) audit guidelines. NexvoraHK tax experts provide deep insights to help you avoid pitfalls and maximize global profits.

1. What is the Significant Controllers Register (SCR)?

To fulfill international anti-money laundering obligations, since March 2018, the Hong Kong Companies Ordinance mandates that all limited companies registered in Hong Kong must maintain a Significant Controllers Register (SCR) at their registered office or a designated location. This register must be available for ad-hoc inspection by law enforcement officers (such as the Companies Registry, Inland Revenue Department, Customs, and Police).

A "significant controller" typically refers to an individual or corporate entity holding, directly or indirectly, more than 25% of the issued shares or voting rights of the company, or senior management exercising significant influence and control. The register must detail their name, address, ID number, date of becoming a controller, and the nature of their control. Failure to establish or maintain the SCR legally renders the company and every responsible person liable to a level 4 criminal fine of up to HKD 25,000, plus a daily default fine of HKD 700. Thus, maintaining the SCR is an inescapable statutory baseline, regardless of active operations.

2. What is a Digital Nameplate?

Hong Kong company law requires every limited company to continuously display its registered name in a conspicuous position at the entrance of its registered office. Because many offshore entities are domiciled at their secretarial company's address, the front desk of a licensed secretarial firm must install a digital nameplate display screen that continuously scrolls through both the English and Chinese full names of all domiciled companies to ensure compliance.

If an ad-hoc inspection by the Companies Registry reveals that the nameplate fails to display the company's name, a direct non-compliance penalty of HKD 10,000 will be imposed. In the past, low-cost or unlicensed "rogue agents" squeezed thousands of companies into tiny offices without basic digital screens. If the CR conducts a surprise site visit (a "water meter check") and finds no corporate signage, the company not only faces massive fines but also suffers severe damage to its "Good Standing," potentially leading to forced deregistration.

3. The Role of the Designated Representative

Beyond hardware and archival requirements, the company must also appoint at least one Designated Representative. This representative must be a Hong Kong resident, a HK CPA, or a Trust or Company Service Provider (TCSP) licensee. Their duty is to assist law enforcement officers regarding the contents of the SCR at any time.

Typically, a compliant TCSP licensed secretary automatically serves as your designated representative. Using a friend's residential address to save money often triggers deep money laundering investigations if law enforcement knocks and finds no proper SCR files or coherent answers. 4. How to Avoid Inspection Fines and Criminal Liabilities?

Since most offshore company directors reside overseas, personally receiving law enforcement in Hong Kong is impractical. This compliance duty must be rigorously managed by your statutory secretarial company:
